Job Purpose
• To consult, advise and proactively engage on all corporate and commercial law matters.
• Provide insights in respect of and keep abreast of legislative developments in respect of South Africa and other jurisdictions relevant to the group’s operations.
• Drafting, vetting and commenting on commercial agreements, company resolutions, circulars, MOIs, notices, regulatory applications and related documents.
• Provide training on corporate and commercial law developments and best practice to peers and Nedbank Group Legal internal clients and stakeholders.
• Conducting research in respect of corporate governance principles, corporate and commercial law, financial services regulation and employment law matters.
Job Responsibilities
• Delivering key insights in supporting transaction and strategic decision making on corporate and commercial law matters impacting the Nedbank Group.
• M&A and corporate law advisory.
• Drafting, vetting and commenting on a wide range of commercial agreements company resolutions, circulars, MOIs, notices, regulatory applications and related documents.
• Identify new corporate and commercial law legislation through subscriptions, research and stakeholder engagements, to determine impact and advise relevant stakeholders, including group subsidiaries.
• Proactively update standard and bespoke commercial agreements.
• Support the senior legal advisors in the team as required and appropriate.
Accountability
The Legal Advisor is accountable to the Group Legal Head of Corporate & Commercial Law and Group Chief Legal Counsel.
Essential Qualifications - NQF Level
- Advanced Diplomas/National 1st Degrees
Preferred Qualification
• Law degree with relevant practical corporate and commercial law (M&A) advisory experience, preferably within a law firm or banking institution. Being an admitted attorney is a requirement. Having a relevant Masters degree would be advantageous.
Minimum Experience Level
• 3 - 5 years post articles experience
• Worked in a law firm.
• Practical experience in working on a range of commercial contracts and related M&A advisory.
The following additional experience is recommended:
• Successful track record in providing a high degree of accountability and value-added support.
• Significant finance and/or legal and/or internal control experience in the banking and financial services sector.
• Ability to apply skills and experience in a banking and/or insurance organisation.
• Strong interpersonal skills with the ability to influence individuals at all levels of the organisation in accordance with company values.
